A Special Purpose Vehicle (SPV), also referred to as a special purpose entity or investment vehicle, is a company or legal entity established or used for a specific, clearly defined purpose.
In the context of corporate financing, an SPV may, for example, be used to issue securities and provide the necessary legal and organisational structure for the offering.
Why is an SPV used?
SPVs may be used in particular to structurally separate a financing or offering from the operating company and to structure the legal, organisational or tax aspects of the offering in accordance with the applicable requirements.
Whether an SPV is appropriate or required for a specific offering depends on the respective financing structure and the applicable legal and tax framework.
